Leadership & Governance
Section 1: Purpose of Governance
Thronos shall be governed in a manner consistent with its Christian foundation, purposes, values, and this Constitution.
Governance exists to provide direction, stewardship, accountability, protection, and continuity for the organization.
Authority within Thronos is understood as a responsibility to serve the purposes of the organization and the people entrusted to its care.
No position of leadership grants a person unlimited authority.
Section 2: The Governing Authority
Thronos shall have a governing body responsible for the overall direction and stewardship of the organization.
The governing body shall:
preserve the purpose and identity of Thronos;
oversee its activities and resources;
establish policies and organizational standards;
appoint or recognize persons responsible for specific functions;
oversee safeguarding and community safety;
approve significant organizational commitments;
and ensure that the organization continues to operate consistently with this Constitution.
The structure, number, appointment, and terms of members of the governing body may be established by bylaws or other governing instruments consistent with this Constitution.
Section 3: The Founder
The founder of Thronos is recognized as having a particular role in establishing and stewarding the vision, philosophy, and foundational identity of the organization.
The founder may exercise such authority as is assigned by this Constitution, the bylaws, or the governing body.
The founder may provide strategic direction, represent the organization, establish initiatives, appoint persons to roles where authorized, and exercise other responsibilities necessary for the effective operation of Thronos.
The founder is not the Constitution.
The existence of a founder does not place the founder above the governing structure of Thronos or exempt the founder from its standards.
Section 4: Delegation of Authority
Authority may be delegated to officers, administrators, moderators, Project leaders, Gathering facilitators, safeguarding personnel, or other persons entrusted with specific responsibilities.
A person exercising delegated authority shall exercise it only within the scope of the authority given to them.
Delegated authority may be withdrawn, modified, or transferred by the person or body with authority to grant it.
No person shall acquire permanent authority merely by having exercised a responsibility in the past.
Section 5: Community Moderation
Thronos may appoint moderators or other persons responsible for maintaining the safety and integrity of its digital and physical community spaces.
Moderators may exercise the powers established under the Community Guidelines, including:
removing content;
closing or restricting discussions;
restricting participation;
suspending access;
removing persons from particular Spaces or activities;
and escalating serious matters to appropriate leadership.
Moderators shall not use their authority to settle personal disputes, silence legitimate disagreement, promote personal interests, or punish people arbitrarily.
Moderation decisions shall be subject to appropriate oversight.
Section 6: Suspension and Removal
Thronos may suspend or remove a person's participation where necessary to protect members, Projects, Spaces, Gatherings, property, information, or the integrity of the organization.
Suspension or removal may be appropriate where a person:
seriously violates the Community Guidelines;
engages in harassment, abuse, exploitation, fraud, or other serious misconduct;
repeatedly disregards reasonable moderation;
creates a serious risk to other participants;
misuses organizational authority or resources;
or acts in a manner fundamentally incompatible with the purposes of Thronos.
Where circumstances permit, a person should be informed of the reason for significant disciplinary action and given an appropriate opportunity to respond or appeal.
Immediate action may be taken where delay would create a significant risk.
Section 7: Accountability of Leaders
Persons entrusted with authority within Thronos are subject to the same fundamental standards of conduct as other participants.
Leaders shall not use their position to:
obtain improper personal advantage;
manipulate members;
suppress legitimate criticism;
retaliate against people who raise concerns;
exploit confidential information;
misuse organizational resources;
or place themselves beyond accountability.
The greater a person's authority, the greater their responsibility to exercise it carefully.
Section 8: Conflicts of Interest
Persons exercising significant authority within Thronos should disclose conflicts of interest that could reasonably affect their judgment.
A person with a material personal interest in a decision should not exercise sole authority over that decision where a reasonable alternative exists.
Thronos may establish more detailed conflict-of-interest requirements through its bylaws or policies.
Section 9: Financial Stewardship
Organizational resources shall be used for the purposes of Thronos and managed with honesty, care, and appropriate accountability.
No leader or member is entitled to use Thronos resources for personal purposes merely because they have access to them.
Significant financial decisions shall be subject to appropriate authorization and record-keeping.
The governing body shall establish procedures appropriate to the size and circumstances of the organization for financial oversight, reporting, and accountability.
Section 10: Protection of the Constitution
The leadership of Thronos shall preserve the fundamental identity, Christian foundation, purposes, and principles established by this Constitution.
Policies, programmes, Projects, partnerships, and other organizational activities should be interpreted consistently with the Constitution.
No ordinary policy or administrative decision may be used to override a constitutional principle.
Section 11: Amendment of the Constitution
This Constitution may be amended only through a deliberate process established by the governing structure of Thronos.
An amendment should:
be proposed in writing;
identify the provision being changed;
state the reason for the proposed change;
be reviewed by the appropriate governing authority;
receive the level of approval required by the bylaws;
and be recorded with the date on which it takes effect.
Amendments shall not be used to circumvent the fundamental Christian foundation or to remove accountability merely for the benefit of a particular officeholder.
The bylaws may establish higher requirements for amendments to particularly fundamental provisions.
Section 12: Removal or Resignation of Leaders
A person holding an office or position of authority may resign from that position.
A leader may also be removed where they:
seriously violate this Constitution;
abuse their authority;
engage in serious misconduct;
become unable or unwilling to perform the responsibilities of the position;
misuse organizational resources;
or otherwise act contrary to the interests and purposes of Thronos.
The procedure for removal shall be established by the bylaws and should provide appropriate separation between the person accused of misconduct and the persons responsible for deciding the matter.
Section 13: Complaints Against Leadership
Members shall have a means of raising concerns about persons exercising authority within Thronos.
A person should not be required to report serious misconduct solely to the person whose conduct is being challenged.
Where a complaint concerns the founder, a senior leader, moderator, or other person with significant authority, it shall be capable of being escalated to another appropriate authority or process.
Retaliation against a person who raises a concern honestly and in good faith is prohibited.
Section 14: Continuity and Succession
Thronos shall maintain sufficient organizational structures to continue its work beyond the tenure of any individual leader.
No single person's continued presence should be treated as necessary for the existence of Thronos.
The governing structure shall establish appropriate procedures for succession, transfer of authority, custody of organizational property and information, and continuity of essential functions.
The philosophy and purposes of Thronos should therefore be capable of surviving the people who first established them.
Section 15: The Exercise of Authority
Authority within Thronos is entrusted, not owned.
Those who lead are expected to exercise authority with:
faithfulness, truth, wisdom, restraint, accountability, and service.
Leadership should strengthen the organization rather than make it dependent upon the personality of a particular leader.
The purpose of governance is ultimately to ensure that Thronos remains capable of fulfilling its purposes faithfully, protecting its people, stewarding what has been entrusted to it, and continuing its work across generations.
